Why an Limited Liability Company?
In Poland, as in any other country, there are many forms of conducting business.However, among foreigners, the limited liability company (LLC) is the most popular, mainly because:
- its equivalents are well known in most countries;
- it allows an unlimited number of shareholders;
- shareholders may be both individuals and legal entities, without restrictions;
- low required share capital;
- limited liability.
Preparation
Recently, company registration is no longer done at a notary’s office but electronically—via the official portal. However, a foreigner must confirm their identity with an electronic signature (paid service) or a Trusted Profile.- In both cases, the following are required:
- registered or correspondence address;
- registered and active phone number;
- passport;
- PESEL number or its equivalent.
At this stage, we offer a legal consultation regarding aspects of LLC registration. Finally, we prepare a draft of the Articles of Association and provide it to all shareholders for review.
Registration
Once the Articles of Association are approved by the shareholders, we prepare the document package and carry out the registration process. This takes from 2 to 7 business days. In the end, we obtain the entry in the National Court Register (KRS) along with NIP and REGON numbers.
Next steps:
- signing a lease agreement for the registered office address (until this moment only a draft is in place);
- opening a corporate bank account;
- registration with the appropriate tax office;
- registration with the Social Insurance Institution (ZUS). We also recommend creating an account in the ZUS PUE system right away.
